Dave thanks for inputs here.

As per Company Laws in many of the Conutries/ Companies, The Chief
Operating Officer or MDs are responsible for any legal matter who represent
the company to out side word. But the Actionable responsibility within the
organisation lies with the Purchasing department and responsible buyer.

Best approach is to have strong release strategy, instead of going for the
signature of present MD/ replacing later.

Alternatively, if client has the demand for signature on PO, then it is
more advisable to have signatures printed on PO as who created and who
approved the PO under release strategy along with terms and conditions.

Aditors are more keen on the POs approval process rather than sugnatures on
PO. Many of the electronic print document can have a common sentence that
this is electronically printed PO does not requires signature. More and
over You may have terms and conditions in PO for legal matter as purhcasing
contract. It's a matter for Auditors understanding.
