Create the new material group as you describe, or use the IMG path "Logistics-General/Material Master/Configuring the Material Master/Settings for Key Fields/Define Material Groups". If the 'old' material group that is being replaced is no longer needed, then change its description to 'obsolete' - don't delete it. If you delete it, it will not be possible to amend/reprocess any open documents that contain the 'old' value of the material group without a master data error (eg purchase reqs, sales orders, etc). Then go into the material master for each of the two materials affected and change the material group from the old value to the new value. As you only have two records to change you don't need to do this by mass change. Think about the timing of the change - e.g. is it better to make the change at month end, etc? As far as I understand, valuation is connected with material type and not material group and so changing material group should not chnage any financial aspects of the material, unless your system has a specific configuration for this.
